Terms of Service

Last updated: [Date]

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the teacher-tools web application ("the Service"), operated by [Company Name] ("we", "us", or "our"), a company registered in the United Kingdom.

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to create an account. If you are using the Service on behalf of a school, institution, or organisation, you represent that you have authority to bind that entity to these Terms.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately of any unauthorised use.

The Service supports three access levels (Teaching Staff, Tools Users, Full Access) plus a session-based Display Mode that locks the interface into view-only for classroom projection. You are responsible for using these access controls appropriately within your organisation.

4. Description of Service

teacher-tools is a bilingual (English/Thai) classroom toolkit providing:

  • Student management (rosters, scores, teams, photo-based drills)
  • Classroom games and activities
  • Lesson planning (timetable, test generator, audio slides, resource links)
  • Productivity tools (rich-text notes, task manager, flashcards, EPUB reader, audio/image editing)

We reserve the right to modify, suspend, or discontinue any feature at any time. We will make reasonable efforts to notify you of significant changes.

5. Fees & Payment

The Service is a paid subscription. Fees, billing cycles, and payment terms are set out on our pricing page or in a separate agreement. All fees are non-refundable unless otherwise stated. We may change our fees with 30 days' notice.

Failure to pay may result in suspension or termination of your account. You are responsible for any taxes applicable to your subscription.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload content that infringes third-party intellectual property rights
  • Upload malware, viruses, or malicious code
  • Attempt to gain unauthorised access to other users' accounts or data
  • Scrape, data-mine, or reverse-engineer the Service
  • Use the Service to harass, abuse, or harm others
  • Resell or redistribute the Service without our written permission

7. Student Data Obligations

The Service allows you to enter, store, and process information about students, including names, photographs, assessment scores, and team assignments ("Student Data").

Your obligations as a data controller: You — not [Company Name] — are the data controller for Student Data you enter. You warrant that you have obtained all necessary consents (parental, institutional, or otherwise) required under applicable law — including UK GDPR, the Data Protection Act 2018, and any local education privacy regulations — before uploading or entering Student Data into the Service.

Our role as a data processor: We process Student Data solely to provide the Service to you. We do not use Student Data for our own purposes, marketing, profiling, or advertising. Our handling of Student Data is further described in our Privacy Policy.

Your responsibility for accuracy: You are responsible for the accuracy of Student Data you enter and for correcting or deleting it as appropriate.

8. User Content & Intellectual Property

Your content: You retain all rights to content you upload or create using the Service ("User Content"), including lesson materials, tests, notes, images, audio files, and Student Data. You grant us a limited, worldwide, non-exclusive license to host, store, and display your User Content solely as necessary to provide the Service to you.

Our content: The Service itself — including its code, design, logos, and branding — is owned by [Company Name] and protected by copyright and intellectual property laws. You may not copy, modify, or distribute the Service without our permission.

9. Third-Party Services

The Service may integrate with or link to third-party services (such as hosting providers, email delivery services, and EPUB parsing libraries). We are not responsible for the content, functionality, or privacy practices of third-party services.

10. Limitation of Liability

To the maximum extent permitted by law, [Company Name] shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, loss of revenue, or business interruption — arising from your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, uninterrupted, or secure. You use the Service at your own risk.

12. Indemnification

You agree to indemnify and hold harmless [Company Name] and its officers, directors, and employees from any claims, damages, or expenses (including legal fees) arising from your violation of these Terms, your User Content, or your infringement of third-party rights.

13. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms, fail to pay fees, or if we discontinue the Service.

Upon termination, your right to access the Service ceases. We will retain your data for 30 days after termination, during which you may request an export. After 30 days, your data will be deleted, except as required by law.

14. Governing Law & Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating formal proceedings, you agree to contact us first to attempt to resolve the dispute informally.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after changes take effect constitutes acceptance of the revised Terms.
